Pay-Per-Booking Service Agreement

This Pay-Per-Booking Service Agreement ("Agreement") governs the pay-per-booking service you receive from Nyxel AI ("Nyxel," "we," "us"). It controls if it conflicts with anything else on our website. Starting service means you agree to it.

What we do

Nyxel operates AI voice "employees" that contact the past and existing customers on the list you provide and book appointments onto your designated calendar, on Nyxel-owned infrastructure. There is no upfront fee, no monthly fee, and no contract to start.

What counts as a "Booked Appointment"

A Booked Appointment is any past or prospective customer who, on a call or message handled by your Nyxel AI, agrees to and is scheduled for a specific appointment, service visit, quote, estimate, or consultation, and is recorded on your designated calendar with their name, contact number, and the agreed day and time. Each unique customer counts once per 30 days (a repeat or rescheduled booking of the same customer within that window is not billed again). A Booked Appointment counts whether or not the customer ultimately shows up, buys, or the sale closes — we control the booking, not their follow-through.

Fees

You pay a flat $50 per Booked Appointment. No booking, no charge. There is no setup fee, no subscription, and no minimum. Prices for any other Nyxel service are shown separately at the time you choose it.

Billing

You keep a payment method on file with our third-party payment provider. We charge the $50 fee per Booked Appointment (which may be batched, for example weekly). Charges are for the booking as defined above and are not contingent on attendance, purchase, or outcome.

Late or non-payment & suspension

Fees for Booked Appointments are due on receipt. If any fee remains unpaid for more than twenty-four (24) hours, or if your payment method is declined and not corrected within that window, Nyxel may pause the service immediately— stopping all outreach and disconnecting your AI's phone number — until your balance is paid in full. We may keep the service paused, and are not obligated to make any calls or book any appointments, while a balance is past due. Service resumes promptly once payment clears. Repeated or prolonged non-payment may result in termination under the Term & cancellation section below. Fees already earned remain payable.

No-shows, cancellations & closes

The fee is earned when the appointment is booked. What a customer does afterward — showing up, cancelling, rescheduling, or buying — is outside Nyxel's control and does not change the fee. We do not guarantee revenue, closed sales, show-up rates, or any specific business outcome.

Source of truth

The appointment record on the Nyxel-managed calendar is the authoritative record of a Booked Appointment and settles any dispute over whether, or how many times, a booking occurred.

Your responsibilities

• Provide accurate contact lists made up of your own past or prospective customers.
• Confirm you have the legal right and any required consent to contact those people, including under the U.S. Telephone Consumer Protection Act (TCPA) and applicable state law.
• Keep your designated calendar connected and honor the appointments we book.
• Respond to reasonable setup questions so we can launch and keep the service running.

Term & cancellation

This is a month-to-month, pay-as-you-go service. Either party may cancel at any time, for any reason, with no penalty. You remain responsible for fees on Booked Appointments made before cancellation takes effect.

Compliance

Nyxel contacts people only within legal calling hours in each contact's local time. You confirm you have the right to contact everyone on any list you provide. Either party may end service for unlawful or abusive use.

Limitation of liability

To the maximum extent permitted by law, Nyxel's total liability arising out of this service is limited to the fees you paid us in the prior thirty (30) days. We are not liable for indirect, incidental, or consequential damages.

Governing law

This Agreement is governed by the laws of the State of New Mexico, without regard to conflict-of-law rules.
